Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Agent22 software-as-a-service platform ("Service"), a product of ByteCrafters ("we", "our", or "us"), accessible at https://agent22.sh.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when registering
• Keep your login credentials secure and not share them with others
• Notify us immediately at [email protected] if you suspect unauthorised access to your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being misused.

4. Subscriptions and Billing

4.1 Plans

The Service is available on a paid subscription basis only, offered on monthly or annual billing cycles. Details of current pricing are available on our website.

4.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You authorise us to charge your payment method on file for each renewal period.

4.3 Payment Processing

All payments are processed securely by Stripe. By providing your payment details, you agree to Stripe's terms of service. We do not store your full payment card details on our servers.

4.4 Refunds

We offer refunds within 14 days of your initial purchase or renewal payment. To request a refund, contact us at [email protected] within 14 days of the charge. Refund requests made after this period will not be eligible unless required by applicable law.

4.5 Price Changes

We reserve the right to change our subscription pricing. We will provide at least 30 days' notice of any price changes before they take effect. Continued use of the Service after the notice period constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Resell or sublicense the Service, or otherwise make it available to third parties for commercial gain without our written consent
• Reverse engineer or attempt to extract the source code, underlying algorithms, or structure of the Service
• Use the Service for illegal activity, including but not limited to fraud, money laundering, or violating any applicable laws or regulations
• Scrape or extract data from the Service using automated means, bots, crawlers, or similar technologies without our express written permission
• Upload or transmit any content that is unlawful, harmful, defamatory, or infringes the intellectual property rights of others
• Attempt to gain unauthorised access to any part of the Service, its servers, or related systems
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

The Service, including its software, design, content, and branding, is owned by ByteCrafters and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your own internal purposes during your subscription period.

7. User Content

If you upload, submit, or otherwise transmit any content through the Service ("User Content"), you retain ownership of that content. By submitting User Content, you grant us a limited licence to host, store, and process it solely to provide the Service to you.

You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused time beyond the 14-day refund window.

8.2 Termination by Us

We reserve the right to immediately terminate your account and access to the Service, without notice or refund, if you are found to be in breach of these Terms. This includes but is not limited to violations of the Acceptable Use provisions in Section 5.

We may also terminate or suspend access to the Service at our discretion for operational or legal reasons, in which case we will provide reasonable notice where possible.

8.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Agent22 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

11. Indemnification

You agree to indemnify and hold harmless ByteCrafters, Agent22, and their officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Service, your User Content, or your breach of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Continued use of the Service after that period constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the EU, you may also have the right to refer disputes to an alternative dispute resolution body in your country of residence under applicable EU law.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
